[[underlined]]AGREEMENT[[/underlined]] 

AGREEMENT made this ___ day of ______, 1979, between the Frederick Douglass Museum of African Art, a corporation organized under the laws of the District of Columbia (hereinafter "Museum"), and the Smithsonian Institution (hereinafter "Smithsonian"), a trust establishment of the United States of America.
 
WHEREAS, the Museum owns and administers real and personal property known collectively as the Frederick Douglass Museum of African Art, located in Washington, D.C., and 

WHEREAS, the members and trustees of the Museum, pursuant to the discretionary power vested in them by the Articles of Incorporation of the Museum, as amended, and pursuant to 1046 of the District of Columbia Nonprofit Corporation Act, have determined that it is in the best interests of the Museum to enter into an Agreement providing for the transfer of the collections and all other assets of the Museum to the Smithsonian, and 

WHEREAS, the Museum and the Smithsonian agree that it is desirable to maintain the identity and programs of the Museum as an organizational entity within the Smithsonian Institution, and 

WHEREAS, the Smithsonian, pursuant to action by its Board of Regents, is willing to accept the collections and all other assets of the Museum as hereinafter set forth,
