mistake we made when we offered the Tintoretto "Baptism of Christ" to the Chicago Art Institute before it was cleaned.

It goes without saying that no cleaning or restoring will be undertaken without your full knowledge and written consent, and this at your expense.

When I shall communicate to you my personal opinion as to a revised list of selling prices I would like you to keep in mind the possible necessity of outside commission which might have to be considered, but no such commission shall be paid without your consent and if paid shall be deducted from the selling price. However, in view of the confidential nature of such commissions it is understood that I shalll not be asked to divulge the names of recipients thereof nor be asked to give proof of such payments. The net selling price upon which our firms commission shall be based is the net amount received after deducting any such outside commissions.

You have also explained to me that several of the paintings will not be physically available, as you are lending them to the exhibition being organized by Gordon Washburn in Pittsburgh, but nevertheless I shall have the right to offer them while they are there, and though I have put on the list the head by Giorgione or Titian, I understand that you have not decided definitely in this respect.

It seems useless to tell you that I will only offer such valuable paintings with the utmost care and after being more or less sure that such a painting or paintings could be of interest, and in view of this I understand that you will leave to me the right to approach the different parties I might and will have in mind at the appropriate time without consulting you. I shall post you upon such negotiations as they take place.

In the meantime you will endeavor to obtain from the different parties you purchased these painting from or/and through your records, reestablish all data pertaining to them, this not to interfere of course with the research I shall undertake myself.

I am enclosing copy of this letter which you might return to me with your signature under the word "accepted" should you consider that it
