BYLAWS OF THE NATIONAL MUSEUM OF AMERICAN ART COMMISSION

I.  [[underlined]]ORGANIZATION AND MEMBERSHIP[[/underlined]]

A.  The Commission created by the Board of Regents of the Smithsonian Institution is known as the "National Museum of American Art Commission."  Its duty shall be to consider matters coming under the jurisdiction of the National Museum of American Art and to report thereon to the Board of Regents.  Advice of action taken by the Regents will be reported to the Commission.

B.  This Commission is to consist of up to 24 members, including artists and experts as well as interested citizens, who shall be appointed by the Board of Regents.  They shall hold office for four years and shall be eligible for reappointment.  In the event of a member's unexcused absence from three or more consecutive meetings, the Commission may recommend the termination of that member's appointment.  The Secretary of the Smithsonian Institution shall be an ex officio member of the Commission and may be represented by the Assistant Secretary for History and Art.  The Director of the Hirshhorn Museum shall be an ex officio non-voting member of the Commission.

C.  Vacancies in the Membership of the Commission shall be filled by appointment by the Board of Regents, and any member appointed to fill a vacancy shall serve for the remainder of his predecessor's term.

D.  No member of the Commission shall receive any compensation for his services as such; but necessary traveling or other expenses incurred by any member in attendance at meetings or in connection with the transaction of the business of the Commission may be reimbursed.

II.  [[underlined]] FUNCTIONS OF THE COMMISSION [[/underlined]]

A.  The primary functions of the Commission shall be (A) to promote the development and utilization of the Museum of American Art, including the acquisition of appropriate works of art; (B) to advise the Director of the National Museum of American Art and the Regents on matters of policy pertaining to the National Museum of American Art, and (C) to review proposed accession and disposition of works of art and make recommendations thereon to the Secretary of the Institution for his approval in accord with policies and procedures laid down by the Board of Regents.

B. A report of the Commission for each year shall be submitted to the Secretary of the Institution.

III.  [[underlined]] OFFICERS OF THE COMMISSION [[/underlined]]

A.  The officers of the Commission shall be a Chairman, a Vice Chairman, and a Secretary, who shall be elected annually by the members from the membership of the Commission.

B.  The Chairman shall preside at all meetings and shall have the usual powers of a presiding officer.
