[[underlined]] C O N S T I T U T I O N [[/underlined]]

ARTICLE I [[underlined]] TITLE [[/underlined]] This corporation shall be known as The American Federation of Arts, Incorporated.

ARTICLE II [[underlined]] OFFICE [[/underlined]] Its principal office shall be in the City, County and State of New York.

ARTICLE III [[underlined]] OBJECT [[/underlined]] The object of this Federation is to unite in closer fellowship all who are striving for the development of art in America.

ARTICLE IV [[underlined]] MEMBERS [[/underlined]] 
[[underlined]] Paragraph 1. [[/underlined]] Members of this corporation shall be limited to three categories: (1) individuals, who shall be known as [[underlined]] Individual Members, [[/underlined]] (2) organizations and institutions not organized for pecuniary profit, which shall be known as [[underlined]] Chapters, [[/underlined]] and (3) other organizations, which shall be known as [[underlined]] Corporate Members. [[/underlined]]

[[underlined]] Paragraph 2. [[/underlined]] Members under each category shall be grouped in various classes, as specified in By-Laws.

ARTICLE V [[underlined]] MEETINGS [[/underlined]]
[[underlined]] Paragraph 1. [[/underlined]] Meetings of the membership of the Federation shall be annual, and shall be held in the spring, on a date and at a time and place to be determined by the Board of Trustees, unless postponed by the Board to a later date, such date shall fall within a period not exceeding six (6) months after May first of that year.

[[underlined]] Paragraph 2. [[/underlined]] Such meetings may be attended by Individual Members, delegates designated by Chapters, and Corporate Members.

[[underlined]] Paragraph 3. [[/underlined]] At such meetings, a quorum for the transaction of business shall be twenty (20) persons eligible to vote, namely, ten (10) Individual and/or Corporate Members and ten (10) delegates representing Chapters.

[[underlined]] Paragraph 4. [[/underlined]]
a. Individual Members shall be eligible to vote at all annual and special membership meetings.
b. Chapters shall be entitled to voting delegates, as follows: one (1) delegate for the Chapter as such, and one (1) delegate for each five hundred (500) members of the Chapter, up to a maximum of five (5) delegates per Chapter.
c. Corporate Members shall be entitled to one (1) vote.

[[underlined]] Paragraph 5. [[/underlined]] Special Meetings of the membership may be called at any time by the President, or by any group of five (5) Trustees.
