Section 2. Five members shall constitute a quorum for the transaction of business at any annual or other legally called meeting of the Foundation, except as provided in Article VII of the Constitution.

Section 3. The Board of Trustees shall hold a meeting as soon as may be after the adjournment of each annual meeting of the Foundation.  Special meetings may be called by the President, and shall be called by the Secretary on the request of three trustees.  Notice of all meetings of the board shall be mailed by the Secretary to all members thereof at least two months before the date thereof.

Section 4. Five members shall constitute a quorum of the Board of Trustees for the transaction of business.

Chapter V. AMENDMENTS

Section 1. Amendments to or new provisions in the bylaws, may be made as follows:

a. Any member of the Board of Trustees may file a proposal for amendment or new provision with the Secretary, who shall notify all members of the board of such proposal at least two months in advance of the next regular or special meeting of the board.  Proposed amendments become operative if approved by a majority of the trustees present at the meeting, but will be subject to ratification by a majority of members of the Foundation voting on the question at the next annual meeting.  Notice of such amendment shall be sent to all members by the Secretary at least two months in advance of the annual meeting.

b. Or, any ten members of the Foundation may propose an amendment or new provision in writing filed with the Secretary, and all members of the
