authorize special committees and prescribe their duties and responsibilities.  They shall keep full and complete minutes of their meetings and shall supervise and direct the activities of all offices of the Club.  The National Board shall assign such special duties to the officers of the Club as may be deemed necessary and they shall perform all such other duties as are prescribed by the Constitution.  They shall give a report to the membership at the Annual Reunion of all official business transacted during the year.

(b) The National Board of Governors shall meet at least once annually.  Board actions in the interim may be accomplished by mail.

(c) Special meetings of the Board may be called by the President or by concurrence of a majority of the members of the Board provided notice of such meeting shall be forwarded to each Governor not less than thirty (30) days prior thereto together with detailed information regarding the purpose of the meeting.

(d) No action taken by the National Board of Governors shall be considered final unless approved either personally, by proxy or by mailed ballot by not less than a 2/3 majority of members of the National Board.

Section 2. The President shall preside at all meetings of the Club including the Reunion which occurs at the end of his term of office and all meetings of the Board of Governors which precede the announcement of the results of the election.  Subject to approval by the National Board of Governors,[[?]]

He shall be responsible for the operation of club affairs between Annual Reunions; but shall have no greater authority than any other member of the National Board of Governors.

He shall appoint the following committees:
Membership Committee
Auditing Committee
Nominating Committee
Awards Committee
Parliamentarian
and such other committees deemed necessary or expedient and as may be authorized by the National Board of Governors.  The President shall, subject to prior approval of the National Board of Governors, specify the number of members for each committee, and the committees shall have only such powers as the National Board of Governors may designate.

He shall be responsible for the operation of the headquarters office of the Club.

He shall countersign all checks covering disbursement of the Club's funds, certifying thereby that the expenditure is a budgetary item or is a special appropriation approved by the National Board of Governors.

He shall coordinate the activities of all Wings, and subject to the approval of the National Board of Governors, initiate programs at the national level designed to further the Club's objectives and other activities.

Section 3.  The First Vice President shall perform the duties of the President in the absence or disability of the President.  In case of death, resignation or removal from office of the President, he shall become president of the Club.
