Exhibit "A"

Stevenson Ala Nov 20th 1865.

An agreement made and entered into this day between Cyrus P. Clayton and James Hawkins: Witnesseth: That the said Clayton and Hawkins, have agreed to leave all matters in dispute between them in reference to their land Trade and Trade in and about the Tan Yard that said Hawkins now has in possession and all matters of controversy between them growing out of said land and Tan Yard trade to the arbitrament and award of John N. Franklin, Jesse G. Beeson, John Roberts, and Thomas Hammock and that they may select an umpire; and that after all the evidence on both sides shall have been submitted to said arbitrators for their considerations and they have made their decision; said decision shall be final and conclusive; and that each of the parties are bound to stand to and abide by said decision without any further lawing; and whatever shall be adjudged to be due and owing to either of the parties shall be paid without delay; but said arbitrators are to select the time and place for said trial as soon as may suit their convenience and accommodate the parties with time to get their testimony.
