RECOMMENDATION OF THE HOUSING AND ORGANIZATION OF ALPA COMMITTEE It is resolved that the governing body of the Air Line Pilots Association shall be the Board of Directors, as prescribed in Article VII, Sec. 3 of the Constitution and By-Laws, which, by convention action of the Ninth Convention, delegates the authority to determine and control all the policies, activities, and procedures to be followed by the president, executive officers, and all other officers, agents and employees of the Air Line Pilots Association in the interim period between convention dates to the Executive Board of the Air Line Pilots Association, hereby established. The Executive Board shall be bound to follow the resolutions and directives of the board of directors assembled in convention, provided that on all matters not ruled upon by the convention, the Executive Board may use its discretion subject to approval by the succeeding convention and provided further that in the event that the Executive Board finds that a major policy determination needs to be made, a ballot shall be sent to all directors with such explanation as may be necessary, and the majority vote of the directors shall govern the actions of the Executive Board. The Executive Board shall be composed of one first pilot representative and one copilot representative from each air line represented by the Air Line Pilots Association. These representatives, both first pilot and copilot, shall be charged with the obligation of personal attendance at all meetings of the Executive Board, during which attendance and during reasonable travel time to and from such meetings all members of the Executive Board shall be paid for all flight pay or salary lost and actual reasonable expenses. Members of the Executive Board from air lines with no domestic base shall be provided with a written notice of and agenda of the subject matter to be discussed at Executive Board meetings dispatched by appropriate communication means so as to arrive at least ten days prior to any Board meeting date, except emergency meetings and may exercise their votes by proxy, provided that members of the Executive Board from air lines with no domestic base shall be required personally to attend the first meeting of each year. However, the chairman of the executive Board can request and require all members of the Board from air lines without a domestic base be present in person or by a personal proxy at all meetings, which in the chairman's opinion will vitally affect them. The Executive Board shall be composed of the master chairman and one copilot representative from each air line to be elected by Local Executive Councils each year within thirty days after the certification of Local Executive Council elections. The balloting shall be conducted by Headquarters. Each first pilot member and each copilot member of the Board shall be entitled to one vote. In the event of a one council air line, there shall be one local council chairman and one master chairman elected by the local executive council. A master chairman shall not be required to act as a local council chairman unless he so desires. If a local council chairman is elected as master chairman, and he so elects, he may resign his local council chairmanship in favor of the vice chairman without affecting his status as a member of the Executive Board.
