This letter will serve as an agreement between the Chrysler Corporation (hereinafter referred to as the "Client"), 800 Chrysler Drive, East, Auburn Hills, Michigan 38234 and the Estate of Tony Smith (hereinafter referred to as the "Artist"), c/o Susanne Hilberry Gallery, 555 South Woodward, Birmingham, Michigan 48009. 

LOCATION

The Client has agreed to commission and the Estate of Tony Smith to fabricate a sculpture to be sited at the Chrysler Corporation in Auburn Hills, Michigan.

DESCRIPTION

The sculpture "Duck", will be made of 1/4" A-36 Steel Plate, weight will be 4,400 lbs., overall dimensions 11'4"x13'10"x9'3", the edition is 3/3.

COST

The total commission price is $315,000. This price includes fabrication of the work, engineering fees and all other costs related to the making of the sculpture. The fabricator will be responsible for the arrangements of packing, trucking, insurance and special permits ( it will be a wide-load truck bed) at an additional cost of approximately $4,000. Further, it is expected that the fabricator will be present at the time of delivery of the sculpture, at a cost of $750. per day and expenses. It is anticipated that this will not require more than one day. 

INSTALLATION

The Client will be responsible for preparation of site, any and all special permits, fees and taxes. The Client will also be responsible for the provision of all installation equipment (such as crane or lifts), crew and any other miscellaneous installation costs. The Client will assume all on-site insurance coverage, including liability insurance. 

It is also understood that the fabricator will be present at the time of installation of the sculpture. This may require a second visit on the part of the fabricator, at $750. per day and expenses, if the delivery and installation of the sculpture cannot occur concurrently.

If the sculpture requires another coat of paint after installation, either the fabricator, or a local paint company, will complete the job at an addition cost. The paint is an iron-clad retardo paint, over an epoxy primer.
