  SATURDAY, Feb. 10.—The Senate met at 9 o'clock, A. M.
COMMUNICATION.
  The Speaker presented the following communication:
  NASHVILLE, TENN., Feb. 9, 1866.—Joshua B. Frierson, Speaker of the Senate: Sir: We had the honor a few days ago to receive, at the hands of the Clerk of the Senate, a copy of Senate Resolution, No. 39, by which we were requested to take under consideration the fourth section of the tenth article of the constitution providing for the creation of new counties, and to give the Senate our opinion concerning the same, and have had the same under consideration.
  Whilst we would assure you, and through you the Senate that we feel profoundly sensible of the honor thus conferred upon us, and grateful for this manifestation of the confidence and respect of the Senate, and our high appreciation of the motives by which it was actuated, we would beg leave most respectfully to say that, since our highest aim has been so to demean ourselves in the discharge of our duties as to contribute all within our power to a complete restoration of public confidence in the impartiality and integrity of that department of the Government, and, to this end, have felt constrained by a sense of duty, both to ourselves and the country, carefully to refrain from an expression of our opinions concerning all questions which may ultimately come before the judicial tribunals of the country for adjudication, and, from similar considerations, we have heretofore carefully abstained from all acts which might even by tortured into an officious intermeddling, on our part, with the section of the law-making department of the Government. We therefore trust the Senate will excuse us for having failed to comply with the request. Respectfully yours,

  Senate bill, No. 234: To incorporate te German Loan and Savings' Institution of Memphis.
  Mr. Smith offered the following in lieu. Be it further enacted, That F. L. Warner, J. W. Wattering, P. H. Heinrich, B. Decker and D. Pante, are hereby incorporated under the name and style of the Memphis German Savings' Institution, with all the rights, powers, and privileges conferred in this set on the Blff City Savings Institution. The amendment in lieu was adopted, and after further slight amendments, the bill, as amended, passed on third reading, and was ordered to be transmitted to the House.
  Senta bill No. 12: To incorporate the Mechanic's and Traders' Bank of Memphis.
Mr. Smith offered the following amendment in lieu: Be it further enacted, That W. W. Jones, C. C. [[?]], A. Kenkernt, Samuel Tighe, W. O Loflisand, William R. Moore, Robert McGee, W. Clark, Jacob Miller, Wm. M Fearington, J. E. Merriman and M. T. Rider, are hereby incorporated under the name and style of the Mechanics' and Traders' Bank of Memphis, with all the rights, powers and privileges conferred upon the Bluff City Savings' Institution in this act.
