Gentlemen:--

In accordance with the decision reached at the conference yesterday, a proposed resolution is enclosed herewith for the consideration of the Council. If the resolution meets with their approval and is adopted, please have certified copy mailed to Mr. Phelps by the Secretary, who should append a certificate at the end that "The foregoing is a correct copy of a resolution passed at a meeting of the Council of the National Academy of Design, regularly called and held at the office of the Academy, 109th Street and Amsterdam Avenue, New York City, on the 4th day of December, 1916," signing such certificate as Secretary and affixing the seal of the Academy thereto. 

As just explained to Mr. Jones over the telephone, Mr. Ranger's sister has made a counter motion for the appointment of a temporary administrator and asks that the Court appoint her in that capacity. This emphasizes the necessity of organizing at once for a proper defense.
