(b) By a majority vote of the entire National Executive Committee at a regular or special meeting, or by circulated petition or referendum. (c) By a two-thirds majority vote of the entire Central Executive Board at a regular or special meeting. Section 9. RESIGNATION. A member of the Central Executive Board may resign at any time by sending written notice of such resignation to the National Executive Secretary. Section 10. VACANCIES. Whenever any vacancy shall occur in the Central Executive Board by death, resignation or otherwise, the same shall be filled by election by the Central Executive Board. The person so elected shall hold office until the next annual meeting of the National Executive Committee. Section 11. VOTING. All questions shall be determined by a majority vote of the members present, except as otherwise specifically provided for. Section 12. GUEST MEMBERS. All members of the National Executive Committee shall be deemed ex-officio members of the Central Executive Board and therefore shall be welcome and are automatically invited to all meetings, whether regular or special, of the Central Executive Board. Those members of the National Executive Committee who attend such meetings of the Central Executive Board shall have the same rights and privileges as any other member of the Central Executive Board present, whether such right be to vote, serve on committees or perform other duties of members of the Central Executive Board, except that they shall not be counted in arriving at the requisite number of men to constitute a quorum. However, neither the Central Executive Board nor the National Secretary is required to send notices of any nature to the members of the National Executive Committee, informing them of the meetings. All members of the National Executive Committee present at a meeting of the Central Executive Board, shall be considered at such meeting as members of the Central Executive Board. ARTICLE V. OFFICERS Section 1. NUMBER AND DESIGNATIONS. The officers shall be: National Chairman, First Vice-Chairman, Second Vice-Chairman, Third Vice-Chairman, Fourth Vice-Chairman, Fifth Vice-Chairman, National Executive Secretary, Assistant National Secretary, Treasurer, Assistant Treasurer. Section 2. ELIGIBILITY. Any member of the National Executive Committee is eligible for election as an officer of the American Artists' Congress. Section 3. ELECTION AND TERM OF OFFICE. The National Executive Committee. A majority of the entire National Executive Committee present in person or by proxy, shall be necessary to hold an election. Section 4. DUTIES. The duties and powers of the officers shall be as follows: National Chairman: The National Chairman shall preside at the meetings of the annual Congress. He shall, at the annual Congress and such other times as he shall deem proper, communicate to the various committees and to the members such suggestions as may tend to promote the welfare and increase the usefulness of the American Artists' Congress, and shall perform such other duties as are necessarily incident to the office of National Chairman. Vice-Chairman: In the event of the death, absence or resignation of the National Chairman, or of his inability from any cause to act, the Central Executive Board shall designate one of the Vice-Chairmen, who shall perform the duties of Chairman. National Executive Secretary: It shall be the duty of the National Executive Secretary to call Special Meetings, to give notice of and attend all meetings of the American Artists' congress and keep a record of their doings; to conduct all correspondence and to carry into execution all orders, notes and resolutions not otherwise committed; to keep a list of the members; to collect the fees, dues and subscriptions and pay them over to the Treasurer; to notify the officers and members of their election; to notify members of their appointment on Committees; to furnish the Chairman of each Committee a copy of the vote under which the Committee is appointed, and at his request give notice of the meetings of the Committees, and to execute
