My dear Mr. Wells:-

I enclose herewith a communication received from Messrs McMahon and McMahon of Dayton, Ohio dated the 13th instant, stating that Messrs. James D. Platt, and Frederick E. Smith and Mrs. Agnes Platt decline to deposit their Michigan-Peninsular Car Company Preferred Stock with the Guaranty Trust Company and that they have forwarded their dissent to the sale of the plant. Mr. Platt is Vice President of the Barney and Smith Car Company and Mr. Smith is its Secretary. They have been shareholders in the Michigan-Peninsular Car Company since its organization. I fancy their objection will not disturb our affairs in the slightest. You will perhaps remember that Mr. Platt is the man who prevented the Barney and Smith Company from joining in our proposed union of two years ago. I have made no reply to the letter and am handing it over to you for action should you deem any necessary.
