In case either party shall at any time claim that the other party has in any particular violated this agreement, and notified in writing of such claim, without the result of such violation ceasing or being corrected, then the complaining party shall have the right to submit the matter in question to arbitration, and the award of the arbitrator's shall determine the nature, extent and method of the redress, if any, which should be afforded the complaining party by the party complaint against, but shall in no event decide that the agreement shall be terminated, unless in their opinion the violation is so serious as to require that decision, and any award made by said arbitrators, or a majority of them, shall be finally binding upon the parties hereto. Should there be any occasion for arbitration as aforesaid, a Board of Arbitration, composed of three members, shall be constituted, one member to be selected by each of the parties hereto, and the third by the two thus selected, and should either party declined to make a selection, or should the two selected by the parties be unable to agree upon the third member, then, in any such event, the designation shall be made, or completed, by the President of the Carnegie Institution.
