TERMS AND CONDITIONS.

1. DEPOSITS AND CHARGES--Subscriber agrees to make an initial deposit of $425 United States currency or, at the option of American Airlines, Inc. (Hereinafter called "the Company."), its equivalent in another currency, with which the Company agrees to open an Air Travel Plan Account for Subscriber. The value of tickets (including all applicable tariff charges and taxes) purchased by Subscriber's Card Holders against Air Travel Cards issued hereunder will be charged to Subscriber's Account. Once each calendar month, or more often if the Company so elects, the Company will bill Subscriber, in the national currency of the country designated in the Company's mailing address on the reverse side hereof, or at the option of the Company, in the national currency of the country so designated in the Subscriber's mailing address, for the amount of the charges to Subscriber's Account not previously paid. (Where it is necessary to convert the value of any such ticket into another currency, the legal rate of exchange in effect at the time and place at which such ticket was issued will be used.) Subscriber agrees to remit the amount (and in the currency) billed within ten days after receipt of the bill, and the remittance will be credited to Subscriber's Account.

2. CARD HOLDERS--The Company will, upon Subscriber's written request, issue an Air Travel Card (North America) for any individual designated by Subscriber who is eligible therefore under the provisions of this paragraph. The Company may, when so requested in writing by Subscriber, issue an Air Travel Card (International) for any such individual, but the Company reserves the right to determine, in its discretion, whether any Air Travel Cards (International) shall be issued hereunder. Individuals eligible to receive Air Travel Cards include the following only:

(a) If Subscriber is other than an individual, the officers, directors, partners, and employees of Subscriber, and officers, directors and employees of any corporate parent, subsidiary, or affiliate of Subscriber.

(b) If Subscriber is an individual, the Subscriber, his employees, and members of his immediate family. ("Immediate family" means a spouse, minor children, dependent relatives, and dependents in the household).

Subscriber agrees to request Air Travel Cards only for individuals eligible to receive Air Travel Cards under this Contract, and to disclose to the Company the facts necessary to establish the Air Travel Card Holder's eligibility.

3. DELIVERY OF AIR TRAVEL CARDS--Air Travel Cards issued hereunder shall be receipted for by Subscriber, who agrees to require Air Travel Card Holders to sign their Air Travel Card in ink for purposes of identification. The Company reserves the right to extend, from time to time, the expiration date of outstanding Air Travel Cards, or, at its option, to substitute new Air Travel Cards therefor. Subscriber agrees to surrender promptly all Air Travel Cards issued hereunder which have expired, or been cancelled, replaced, or materially altered or mutilated.

4. USE OF AIR TRAVEL CARDS--An Air Travel Card which has been properly signed may be used only to purchase tickets for the air transportation of the Air Travel Card Holder and his baggage (including applicable taxes),* and tickets so issued are not transferable. The Air Travel Card is not good for passage, but, when presented at any ticket office of the Company, or of any other carrier named as an issuing or honoring carrier in the Universal Air Travel Plan Tariff then in effect, or of any agent authorized by the Company or by any other such carrier to honor Air Travel Cards, and upon signing by the Air Travel Card Holder of a receipt in the form prescribed by the Company, will be honored in lieu of cash for the purchase of tickets good for air transportation over the lines of the Company, or of any other such carrier, subject to the following limitations. An Air Travel Card (North America) will be so honored only for transportation between points in the continent of North America, the Bahamas, the West Indies, Bermuda, Newfoundland and/or the Hawaiian Islands; an Air Travel Card (International) will be so honored for transportation between any points served by the Company and/or any other such carrier. The Company may, at its election, so honor any Air Travel Card issued by it hereunder for the purchase of tickets for transportation over the lines of carriers not named as issuing or honoring carriers in the Universal Air Travel Plan Tariff then in effect, but no carrier other than the Company will honor an Air Travel Card issued hereunder for such transportation.

5. RESPONSIBILITY FOR USE OF AIR TRAVEL CARDS--An Air Travel Card is not transferable, and the Company reserves the right for any issuing or honoring carrier to refuse to honor and to take up an Air Travel Card which is presented by a person other than the Air Travel Card Holder, or which has been materially altered or mutilated. The Company will use reasonable care to prevent the honoring of Air Travel Cards presented by persons other than Air Travel Card Holders, but if Air Travel Cards issued hereunder are nevertheless honored when so presented, Subscriber agrees to be responsible for the value of the tickets so purchased (including all applicable tariff charges and taxes). If Subscriber desires to terminate its responsibility for the use of any Air Travel Card, or if an Air Travel Card has been lost or destroyed, Subscriber agrees to so notify the Company in writing. Upon receipt of such notice, the Company will cancel the Air Travel Card and will take steps to prevent the honoring thereof; but if, notwithstanding such steps, the Air Travel Card is honored within a period of thirty days following the receipt of such notice, Subscriber agrees to be responsible for the value of the tickets so purchased (including all applicable tariff charges and taxes). Subscriber further agrees that, whenever any Air Travel Card Holder ceases to be eligible to receive an Air Travel Card under this contract, Subscriber will promptly return the Air Travel Card to the Company for cancellation.

6. CANCELLATION OF RESERVATIONS--Reservations not to be used must be cancelled by Air Travel Card Holders at such times before plane departures as may be required by the rules and regulations of the carrier on which passage is reserved.

7. LIABILITIES--The Company shall be liable only for its own acts and omissions, and shall not be responsible for the acts or omissions of any other person or company.

8. TICKET REFUNDS--Subscriber agrees that whenever a ticket purchased hereunder is unused, in whole or in part, due to causes beyond the control of the Air Travel Card Holder, a refund in accordance with applicable tariff provisions may be made to the Air Travel Card Holder. Otherwise, refunds shall be by credit to Subscriber's Account after tickets are surrendered to the Company.

9. TERMINATION AND SETTLEMENT--This Contract shall continue in effect until terminated by either party by giving thirty days' prior written notice to the other at the address appearing on the reverse side hereof. The Company may, however, terminate it immediately, at any time, in the event of default by Subscriber, or in the event it is no longer permitted or reasonably possible to convert the national currency of the country designated in the Subscriber's mailing address on the reverse side hereof into the national currency of the country so designated in the Company's mailing address, or to transfer funds from the former to the latter country. The Company may revoke the right to use Air Travel Cards issued hereunder at any time after receipt by either party of notice of termination. Upon termination, all outstanding Air Travel Cards issued hereunder shall be surrendered to the Company at its address appearing on the reverse side hereof, and the Company shall return any excess of the deposit over the amount of unpaid charges. In the event the unpaid charges to Subscriber's Account exceed the deposit, Subscriber agrees to remit the amount of such excess within ten days after receipt of a bill therefor. In the event the Company brings suit on any debt owed by Subscriber under this Contract, Subscriber agrees that the Company shall be entitled to recover, in addition to the amount of the debt, its costs and attorneys' fees.

10. SUBJECT TO LAW AND TARIFFS--This Contract shall be subject to all applicable laws and tariffs, to the rules and regulations and general conditions of carriage of the Company or any carrier engaged in transportation hereunder, and to the applicable rules, regulations, demands, and orders of any governmental authority having jurisdiction in the premises.

11. EFFECTIVE DATE--This Contract shall become effective when executed by the Company, and shall amend and supersede any Universal Air Travel Plan Contract in effect between the parties hereto on such effective date.

* Except that, by signing a One Trip Air Travel Order Agreement, the Subscriber may arrange for authority to secure tickets for eligible individuals to whom Subscriber does not wish to issue Cards.
