Dear Mr. Banks;-

Supplementing our conversation of today I am setting forth what I understand is our idea of the proposition we have to offer you in assisting you or the company you are forming to operate Avro's in the New England Territory.

Until such time as we determine to establish sub dealers in any points in our territory we cannot give you a definite selling agency agreement but if we decide to establish such within the present year we will give you the FIRST OPTION on the territory set aside for the Springfield territory including the city of Springfield.

In consideration of your purchasing two Avros and establishing a flying field equipped to render service to a member of visiting planes in the vicinity of Springfield we will give you the operating rights for that territory for the present calendar year and will not attempt to carry on any local flights but we may undertake to other operation in this territory. In addition to this we will allow you a commission on all sales made by you in that territory of not less than 10% during the life of the operating term. Subject to our closing them we will also turn over to you a certain number of contracts for exhibition flying and passenger carrying concessions that we are not carrying out ourselves provided you are equipped to carry them out. These will not be confined to any particular territory but may be located in any territory that you feel able to cover.

We assume you that we will be pleased to render at all times the heartiest co-operation and will do all in our power to make your enterprise a success.
