                                January 3, 1946.

Dear Willis:

While checking my affairs at the end of the year I found a little notation that you has advised me, back in 1943, you were holding twenty shares of stock of Aerovias de Guatemala, S.A. in trust for me. Although it has been my intention since that time to discharge you of all responsibility under this self created trust, I find I have not done so.

I appreciate your motives in constituting yourself trustee for me but as I have no right, interest or claim in stock, I think it is wise, for your records, that this trust arrangement be wiped out.

Consequently, this will serve to extinguish the trust and I declare that I have no claim or interest in said stock, that I never had any claim, right or interest therein and that such stock is wholly yours with no obligation whatsoever to me.

Should you at any time require any more formal declaration or execution of any documents to this effect you have only to ask me and I shall be glad to execute them.

                                                  Sincerely yours,
