Dear Friend
Col O. Brown

I think it best to make a distinct proposal for which I carry authority from our "Association of Friends of Philadelphia & vicinity"; viz that we will take the ground in & about the following places Danville Lynchburg Petersburg Suffolk and Winchester. This proposal is subject to any understanding already had with others & between them and thyself, subject to thy own judgment in the premises and subject to some advisement from our board with respect to Winchester. We may enter in here too if desired so to do by thy view of the present condition of the field. We will be ready by the first of fall or some before or after. If this is not according to thy wishes write me at Goldsboro any time within 5 days; after that at Raleigh. I shall push through my work as soon as possible in N.C. and begin in Va. according to thy directions and according to what may have been done by others.

Respectfully
Thy Friend
Yardley Warner
