Constitution and By-Laws.............................2

(a) Sympathy with and approval of the Arts Council's purposes and willingness to support its activities.

[[Underlined]]Section 3.[[/Underlined]] Names of all candidates for membership must be recommended by an Active Member and filed with the Chairman of the Membership Committee. The following procedure is then to be followed:

(a) The Membership Committee shall investigate and consider the qualifications of the proposed candidate. If the Membership Committee by majority opinion approves of the qualifications of the candidate, it shall submit the name of the candidate to the Executive Board.

(b) The Executive Board shall then by majority decision, accept or reject the candidate as a member of the Arts Council. The Executive Board shall report all such decisions to the membership of the Arts Council at the first subsequent general meeting.

(c) A petition signed by ten Active Members and filed with the Membership Committee may re-open any individual case for re-hearing.

[[Underlined]]Section 4.[[/Underlined]] An Active Member has the right to vote and to hold any office in the Arts Council. An Associate Member may not vote or hold any elective office in the Arts Council, but may volunteer and/or be appointed by the Chairman for any appointive office.

III. OFFICERS AND EXECUTIVE BOARD

[[Underlined]]Section 1.[[/Underlined]] Officers shall be elected annually at the regular annual meeting of the general membership to be held in the Spring of each year and not later than May 31st.

[[Underlined]]Section 2.[[/Underlined]] The following Officers shall be elected at such meetings:

(a) Chairman
(b) Two Vice Chairmen
(c) Executive Secretary
(d) Recording Secretary
(e) Treasurer

[[Underlined]]Section 3.[[/Underlined]] The Executive Board shall be composed of the Officers, Chairmen of Standing Committees and seven representatives elected by and from the Active Membership.

[[Underlined]]Section 4.[[/Underlined]] Chairmen of Standing Committees shall be appointed by the Executive Board.

[[Underlined]]Section 5.[[/Underlined]] Terms of all elective offices and standing committees shall be for one year.

[[Underlined]]Section 6.[[/Underlined]] In the event of a vacancy in any elective office for any reason, said vacancy shall be filled by the remaining members of the Executive Board until the nest regular or special meeting of the membership at which meeting said vacancy shall be filled for the duration of the term, if any.

[[Underlined]]Section 7. Between meetings of the general membership the business and the general activities of the Arts Council shall be conducted and managed by the Executive Board and Officers. At the regular annual Spring meeting the Executive Board shall render a report, verified by a majority of them, showing the whole amount of real and personal property owned by the Arts Council, where located, and where and how invested, the amount and nature of the property acquired during the year immediately preceding the date of the report and the manner of acquisition; the amount applied, appropriated or expended during the year immediately preceding such date, and the purposes, objects or persons to or for which such applications, appropriations, or expenditures have been made; and the names and places of residence of the persons who have ben admitted to membership in the Arts Council and an abstract thereof entered in the minutes of the proceedings of the annual meeting.

[[Underlined]]Section 8.[[/Underlined]] If for any reason the Chairman of an Standing Committee is unable to carry out his duties in a satisfactory manner, or, if in the opinion of the Executive Board he fails to do so, he may be removed from office by the Executive Board, and the vacancy filled as indicated in Section 6.
