Under Sections 408 and 412 of the Civil Aeronautics Act of 1938, as amended, for approval of an agreement for the acquisition of the assets of Colonial Airlines, Inc. by Eastern Air Lines, Inc. } Docket No.

TO THE CIVIL AERONAUTICS BOARD:

JOINT APPLICATION FOR APPROVAL OF 
AGREEMENT FOR ACQUISITION OF ASSETS

Colonial Airlines, Inc. (hereinafter called "Colonial"), and Eastern Air Lines, Inc. (hereinafter called "Eastern"), hereby apply to the Civil Aeronautics Board for approval of an Agreement dated January 28, 1955, between Colonial and Eastern covering acquisition by Eastern of the assets of Colonial; and in support of this application Colonial and Eastern respectfully represent to the Board as follows:

1. Colonial is a corporation organized and existing under the laws of the State of Delaware, having its principal offices located at 230 Park Avenue, New York 17, New York, and Eastern is a corporation organized and existing under the laws of the State of Delaware, having its principal offices located at 10 Rockefeller Plaza, New York 20, New York.

2. Colonial and Eastern are both citizens of the United States within the meaning of Section 1(13) of the Act, the president and two-thirds or more of the board of directors and other managing officers of each corporation being citizens of the United States and at least seventy-five per cent of the voting interest in each corporation being owned or controlled by persons who are citizens of the United States or of one of its possessions.

3. Colonial is the holder of certificates of public convenience and necessity authorizing it to engage in scheduled air transportation of persons, property, and mail over routes Nos. 71, 72, 71-F, 72-F and FAM 33.

4. Eastern is the holder of certificates of public convenience and necessity authorizing it to engage in scheduled air transportation of persons, property, and mail over routes Nos. 5, 6, 10, 47 and 108 and an unnumbered route between New Orleans, Louisiana and Mexico City, Mexico.

5. A true and complete copy of the Agreement of January 28, 1955, for which approval is hereby requested under Sections 408 and 412 of the Civil Aeronautics Act, is attached hereto.
