I,.... ......................................... ....one of the Academicians of the National Academy of Design, as such Academician, hereby assent to the sale of the property of the Academy, at the northwest corner of 23rd Street and Fourth Avenue, in the City of New York, including what is known as the National Academy of Design Building, and the two houses adjacent thereto on the west, for the best price that can be obtained, but not less than $600,000 in cash, such sale not to consummated later than the first day of May, 1895.

As soon as a majority of all the Academicians of the National Academy of Design shall have signed this consent, or a duplicate thereof, I, as an Academician of the National Academy of Design, authorize James D. Smillie, the treasurer thereof, (so far as I have authority so to do as such Academician,) to execute and deliver a contract of sale, for a sum not less than $600,000, in the name of the National Academy of Design, to be closed not later than the first day of May, 1895, it being expressly understood that I assume no personal liability for carrying out any such contract  The details of such contract of sale, if entered into, are to be approved by said treasurer, and by counsel, as properly protecting the interests of the Academy.
