Dear Betty Parsons & dear Ad Reinhardt -

This will confirm the understanding reached during our conversation last Friday, January 11th, that you are willing to sell through Perspectives inc. as intermediary, one or several of Ad Reinhardt's paintings - at present exhibited at the Betty Parsons Gallery - for the purpose of reproduction or adaptation on fabrics and/or wallcoverings to one of Perspectives clients.

If a client purchases these paintings for reproduction, he shall be permitted to use the artists name as follows in connection with any publicity: "Inspired by a painting by Ad Reinhardt" or "after a painting by Ad Reinhardt" but NOT "a reproduction of a painting by Ad Reinhardt" nor "Designed by Ad Reinhardt".
The purchaser shall have the right to obtain such protection as the law offers to prevent others from exploiting commercially Ad Reinhardt paintings.

The sales price of each painting shall be based on the list-price of the gallery plus a percentage for the right to use the paintings commercially. In addition to the salesprice, Perspectives inc. aims to obtain a royalty per yard sold for the artist.

Perspectives inc. alone is authorized to negotiate for the sale of Ad Reinhardt's paintings for industrial use during the period of the exhibition and no other party will be permitted to conduct negotiations concurrently.

Perspectives inc. is to receive 25% of allsums derived from sales of Ad Reinhardt's paintings for commercial adaptation as well as 25% of any royalty paid to him through Perspectives. [[right margin]] AR [[right margin]]
The 25% will be due to Perspectives for any commission given to Ad Reinhardt through contacts established by Perspectives - even after the termination of the present exhibition.
