Re: Exchange of Cornell Box for Murch Portrait of Joseph Cornell and Another Murch Work

Dear Mr. Truman:

To confirm our conversation of yesterday, I will be in New York on Thursday, May 6th.  Hopefully, you and I can complete the captioned exchange on that date.

As we discussed, the value of the Cornell work which was delivered to Mrs. Parsons is $14,000.  You have indicated to me that the value of the Murch portrait of Joseph Cornell is $3,000.  On May 6th, I will select a Murch work with a value in the neighborhood of $11,000 for Mrs. Benton.  To the extent that the value of the Murch work is more or less than the value of the Cornell work, we can make the appropriate cash adjustment.

Due to Mrs. Benton's personal circumstances, it will not be possible for her to accompany me on May 6th.  Therefore, I will select a work for her which will be subject to her approval.  In other words, if she isn't fond of the one that I select, I will make another selection on her behalf.

It would be helpful if you could forward to me any photographs that you may have of the Murch works which will be available to Mrs. Benton.
