ARTIST - DEALER AGREEMENT

It is hereby agreed between Floyd Coleman, hereinafter "Artist", 13014 Daley Street, Silver Spring, MD 20906 and Norman Parish, hereinafter "Dealer", Parish Gallery-Georgetown, 1054 31st Street, NW, Washington, DC 20007 that Dealer shall exhibit Artist's work at Dealer's premises under the following conditions:

1) The works hereby consigned for exhibition and sale by Dealer as agent for Artist are described and priced at retail on the attached list. Artist warrants that such works are his own original creations and unencumbered property. They shall remain the property of Artist unless and until they are purchased by collectors or by Dealer.

2) The works here listed shall be exhibited by Dealer from Friday, October 15, 1999 to and including Tuesday, November 9, 1999.

3) Artist will assist the dealer by:
   a) crating and shipping works to dealer,
   b) framing the works for exhibition,
   c) furnishing advice, cooperation and assistance in advertising and publicizing
      Artist's work,
   d) furnishing information regarding prospective and existing collectors.

4) Dealer will pay Artist 50% of the retail sales price on any works sold. Notice of all sales, including the name and address of purchaser will be given to Artist at the conclusion of exhibition.

5) For all works shown under this agreement, Dealer will exclusively represent the artist in the Washington, DC area, for the twelve month period following the conclusion of exhibit.

6) Artist is responsible for invitation card production cost, up to $350. Due 30 days before exhibition opening date.

7) Dealer is responsible for exhibit opening reception expenses.
