CONDITIONS

If this Purchase Order is issued in acceptance of a bid it is so noted on the face hereof and the bid request, the vendor's bid and this Purchase Order constitute the contract between the parties.

If this Purchase Order is not issued in acceptance of a bid it will be noted on the face hereof and in such even the order is made upon the following conditions:

1. This Purchase Order shall not bind the University for an amount in excess of that noted on the face hereof.  In case property of a value in excess thereof is forwarded to the University hereunder, University may at its election retain the property at the invoice price, or return it to the vendor at its expense.

2. Materials and services furnished the University are not subject to either Federal Excise Taxes or the Missouri Sales Tax. Exemption certifications will be furnished on request. Shipments to the University are exempt from the Federal Transportation Tax.

3. C.O.D. shipments will not be accepted.

4. All shipping charges must be PREPAID.  No packing or drayage charges will be allowed.

5. Vendor agrees to defend, protect and save the University harmless from all claims and actions arising out of patent infringement.

6. Risk of loss or damage to the goods prior to the time of their receipt and acceptance of the University is upon the vendor.

7. All goods ordered and received are subject to test and inspection, and shall remain, the property of the vendor until acceptance or rejection by the University.

8. University reserves the right to cancel all or any part of orders if shipment is not made as promised or ordered. Vendor shall notify Purchasing Department if shipment cannot be made as promised or ordered.

9. Unless otherwise specified all goods shall be the best of their kind.

By virtue of the policy of the Board of Curators, and by virtue of statutory authority, a preference will be given to materials, products, supplies, provisions and all other articles, produced, manufacturing made or grown within the State of Missouri.  By virtue of the policy of the Board of Curators, preference will also be given to all firms, corporations or individuals doing business as Missouri firms, corporations or individuals.

(a) This policy shall be binding upon the officers, agents, and employees of the Board of Curators of the University of Missouri and upon all employees and departments of the University, and also by contract upon independent contractors and sub-contractors making or holding contracts with the University of Missouri.

(b) This policy shall be applicable to the construction and repair of buildings, and to the making of purchases, including, but not by way of limitation, the purchase of coal for fuel purposes.

(c) The commodities and services covered by this policy shall include the products of the mines, forests and quarries of the state of Missouri, and all materials, commodities, products, supplies, provisions and all other articles produced, manufactured, mined or grown within the State of Missouri and shall also apply to contractural services.

(d) In addition to the commodities, products, supplies and provisions mentioned in paragraph (c) hereof, preference shall be given to all firms, corporations or individuals doing business as Missouri firms, corporations or individuals.

(e) Preference shall be given in respect to any commodities, products, materials, supplies, provisions and all other articles produced, manufactured, mined or grown within the state of Missouri and in respect to services when they are of a quality suitable for the purpose intended, provided that quality and fitness of articles shall always be considered in determining the right to preference hereunder.

(f) Preference need not be given to Missouri products, materials, supplies, provisions, commodities and other articles unless they are found in marketable quantities in the state.

(g) Preference shall be given to Missouri products, materials, supplies, provisions, commodities and other articles and services, mentioned in paragraph (c), only when they can be secured without additional cost over foreign products or the products of other states.

By virtue of the foregoing policy and by virtue of statutory authority, preference will be given to materials, products, supplies, provisions and all other articles produced, manufactured, made or grown within, or which are the products of the mines, forests, and quarries, of the state of Missouri. By virtue of the foregoing policy, preference will also be given to all firms, corporations or individuals doing business as Missouri firms, corporations or individuals. Each bidder submitting a proposal agrees to comply with this policy of the Board of Curators with respect to perference for Missouri products and firms.
