(f) Vacancies. Whenever any vacancy shall occur in the Chairmanship of any National Standing Committee, by death, resignation or otherwise, the same shall be filled by a member elected by the Central Executive Board. The person so elected shall hold office until the next annual meeting of the National Executive Committee. (g) Voting. All questions shall be determined by a majority vote of the members present except as otherwise specifically provided. Section 2. SPECIAL COMMITTEES. The National Executive Secretary may appoint other Committees on any subject for which there is no National Standing Committee. The Chairman of such Special Committee shall be appointed from the membership of the National Executive Committee. The composition, duties and powers of the Special Committees shall be defined and described by the National Executive Secretary at the time of the appointment of the Chairman of the Special Committee. Special Committees so appointed shall continue to act for the purpose for which they are created, until dissolved by the National Executive Secretary or until the next annual meeting of the National Executive Committee. Section 3. PROVISIONAL STANDING COMMITTEES. The Central Executive Board may create additional Provisional National Standing Committees and elect members of the National Executive Committee as the Chairmen of such Committees. The composition, duties and functions of these Provisional National Standing Committees so created shall be set forth by the Central Executive Board at the time of the appointment of the Chairmen. Provisional Committees so created shall act until the next annual meeting of the National Executive Committee. Section 4. COMMITTEE QUORUM. The presence of one-third of the members of a Committee shall constitute a quorum. ARTICLE VII. BRANCHES Section 1. ORGANIZATION. Five or more members of the American Artists' Congress residing or having their places of business in the same city, town or village, may apply to the Central Executive Board for a charter to constitute themselves a branch. The Central Executive Board shall grant a charter upon such terms and conditions as it may deem necessary and proper, consistent with the best interests of the American Artists' Congress. No persons may become a member of a branch without first becoming a member of the American Artists' Congress. Not more than one branch may receive a charter in any particular city, town or village. Section 2. POWERS. A branch has only those powers which are specifically granted to it by the Central Executive Board. It may elect its branch Secretary and other officers, and may function and has autonomy only over peculiarly local issues within the framework and purposes of the American Artist's Congress. Section 3. REVOCATION OF CHARTER. A branch charter may be suspended or revoked at any time by a vote of two-thirds of the entire membership of the Central Executive Board. ARTICLE VIII. DUES Section 1. AMOUNT. Except as herein otherwise provided for, the annual dues shall be Two ($2.00) Dollars, payable in advance or in two semi-annual installments of One ($1.00) Dollar each. All dues are payable to the National Executive Secretary. Section 2. BRANCH REMITTANCES. The National Treasurer shall remit, quarterly, fifty per cent of the dues paid by members of Branches to the Secretary of the Branch in which they are members. ARTICLE IX. AMENDMENTS Section 1. This Constitution and By-Laws may be amended, repealed or altered in whole or in part in the following manners: (a) By a majority vote of the membership at a meeting or by referendum or petition. (b) By a majority vote of the entire National Executive Committee at a meeting or by referendum or petition.
