The Treasurer stated that it had long been the desire of the Trustees to appoint as Assistant Secretary and Assistant Treasurer of the Museum a suitable person qualified to keep the books and records of the Corporation, countersign its checks, and in other ways assist the Secretary and Treasurer in the performance of his duties as such, and render to the Corporation such other services as the Trustees might request from time to time. Mr. John S. Mackay, accountant and financial advisor to Mrs. Miller, the President of the Museum, he said, filled all these qualifications and he proposed that Mr. Mackay be appointed Assistant Secretary and Assistant Treasurer of the Museum and that the amount of his compensation be left to the discretion of the President. Thereupon, after due consideration, upon motion duly made and seconded, the following resolution was unanimously adopted:
RESOLVED that John S. Mackay be and he hereby is appointed Assistant Secretary and Assistant Treasurer of the Whitney Museum of American Art and that all checks and drafts on the deposit account of the Corporation with the Guaranty Trust Company of New York shall be honored when signed by any two Trustees of the Museum, or by any one Trustee of the Museum and countersigned by Mr. Mackay as Assistant Treasurer.
