Attention: W.L. White, Jr., Assistant Counsel

Dear Mr. White:

Your letter of January 17th addressed to Poster Originals, Ltd. has been referred to me for reply. We were rather surprised at your letter since your Company has been aware of the use of the tomato soup label for a number of paintings by the artist, Andy Warhol, during the past few years. That the company had no objection to this use and, in fact, rather approved of the idea, is evidenced by the enclosed photocopies of two letters from William C. Parker, your Director of Public Information, concerning the Company's commission of a Warhol soup can painting for your former Board Chairman in 1964.

With respect to the subject "shopping bags", they were devised and produced solely for use as the show announcement and poster for an exhibit of Mr. Warhol's works at the Institute of Contemporary Art, Boston Massachusetts, held several months ago. They were not produced for use as a commercial product, unless one were to consider a work of art in that category. The fact that the poster was printed on a shopping bag rather than a more conventional form was not intended to change its character as a work of graphic art. Anyone who acquired a shopping bag would be very pained if any member of his household were actually to use it as a shopping bag.

I trust that upon review of this matter with the appropriate Executives of your Company, you will be able to clear up the issue and will confirm to me that the matter may be closed. If any further information is desired by you, please advise.

Very truly yours,
Jerald Ordover
