Dear Mr. Smith:--
I have your favor of the 25th instant, enclosing Mr. Auerbach's letter to you of the 21st instant, and note the same fully. I fear that the opposition, which I was again told of only last week is very strong in the minds of some of the  Directors of the Equipment Company, may result in the failure of the proposed consolidation.
I return herewith Mr. Auerbach's letter.
