Dear Sir:

Confirming our conversation over the telephone, and that there may be no misunderstanding as to the proposition made by Mr. Whitney and Mr. Buhl: I would say that they are willing to pay you One Hundred Twenty-five dollars per share for ten thousand shares of Parke, Davis & Company's stock, if said stock is delivered to them any day this week, for which they will pay cash. They state that their only purpose in buying this stock is to have it remain within the Parke, Davis & Company family and not have it go to some outside interest. They also state that they would not be willing to increase this offer in any respect and that any dividends which may accrue between now and the first of January would go to them.
