Mr. dear Mr. McMillan:-

Your letter of March 5th reached me in New York at a very opportune time. Several members of the Board of Directors were present performing their duties in connection with the inventories, and the members of the Executive Committee, then in New York, had an excellent opportunity to discuss with the Directors mentioned, the location of the Auditor's Office and certain other matters pertinent to administrative affairs. The result was that it was unanimously agreed to centralize the business very largely at St. Louis, arranging so that the offices of the Chairman, President, Treasurer, Auditor, and General Purchasing Agent, should be located at St. Louis. It was also determined to have the office of the Vice President, Secretary and Assistant Treasurer in New York. Furthermore, to establish both at New York and Chicago important sales offices, so you will see that your original suggestion to centralize the business largely at St. Louis has been accomplished, and I am glad to say most pleasantly. You will remember that Mr. Qrafe, Mr. Dickerson's law partner, was elected Secretary, consequently his office will have to be in New York. Should it be desirable at some future time to have the Secretary's office in St. Louis, the matter can be easily arranged. I am confident that the plans thus far mapped out are in the right direction. The inventories, as passed by the Committee, seemed to me, as they should be, very favorable to the American Car and Foundry Company. The legal work thus far done seems
