January 17th, 1900.

Mr. T. J. Korindo, Genl. Mngr.
American Car & Foundry Co.,
St. Louis, Mo.

My dear Sir:
Replying to your inquiry of the 15th inst., I beg to say that the Messrs. Peacock Bros. disposed of their patents for steel care to the Pressed Steel Car Company, prior to the organization of the American Car & Foundry Company. The negotiations were conducted between Messrs. Schoen and Peacock, and the understanding was that the Pressed Steel Car Company was to have the solo right to use Messrs. Peacock Bros. patents and any improvements thereon to that Mr. Peacock might make in the future. The agreement also provides for the services of Mr. Peacock at such time as he might be disposed to give special attention to our business. As their negotiations were completed prior to the purchase of the Peacock Bros. Then you will see that Mr. McMillan's impressions are incorrect.

Yours very truly,
Charles L Freer
