dear Sir:-
Replying to your inquiry of the 15th inst., I beg to say that the Messrs. Pennock Bros. disposed of their patents for steel cars to the Pressed Steel Car Company, prior to the organization of the American Car & Foundry Company. The negotiations were conducted between Messrs. Schoen and Pennock, and the understanding was that the Pressed Steel Car Company was to have the sole right to use Messers. Penock Bros.' patents and any improvements thereon that Mr. Pennock might make in the future. The agreement also provided for the services of Mr. Pennock at such times as he might be disposed to give special attention to our business. As these negotiations were completed prior to the purchase of the Pennock Bros.' plant, [[?]] will see that Mr. McMillan's impressions are incorrect.
