Dear Mr. Edgar:

Your letter of August 3rd., received here, informs me that you have bought for my account on same date, 100 shares of Woolworth at 49-1/2, plus of course, the regular Stock Exchange commission.

As I understand that these shares were bought by you indirectly from a large holder, and not on the New York Stock Exchange, I do want you to know that I fully approve this purchase, this confirmation to be used by you in conformity with the SEC regulations.
