Telephoned this morning to Karpen to ask him to change our date to this morning at Townsend's office He says he has an appointment with Kirk Brown at that time but will change it to afternoon I also learned form him that last Sunday, one day before Kirk Brown acquainted me with the fact of the option he had had a long conference with Kirk Brown. So [[red underline]] when Kirk Brown was so indignant about Van Vleck [[/red underline]] he had already had [[red underline]] a long interview with Karpen [[/red underline]] [[red !]] This explains why Kirk Brown at his interview of last monday with me tried to feel whether I would be disposed to

At 10:30 AM. Karpen arrived at Townsends. He submitted several plans of a merger and one of which I pointed out had objectionable features in its details. He wanted to make 2 companies one a holding company for the patents which would license the other company and the latter would issue [[red underline]] bonds [[/red underline]] proportionately to the relative holdings of the three constituents I told him [[red underline]] I objected against [[/red underline]] bonds for several reasons. specially because it might dodge proper representation by shares and leave the latter valueless and easily influenced
