July 31. Karpen had a long conversation with Sanford Brown last night. Kirk Brown on being offered book value + 10% became raving mad and said: "I am through". Whatever that may mean. Sanford Brown says his father means to quit and has had this idea in his mind, of selling his stock, for a very long time. - This confirms another of my guesses.

To N.Y office to meet Karpen 
Long further discussion on the subject of sale of stock of Kirk Brown. Told him this sale should not worry us further, and is no more important than of the heirs of William & Peters sold their stock. - That Kirk Brown has shown his unfitness to be connected longer with our company. That whatever we do I expect further trouble from Kirk Brown who will live up to his record and reputation as a troublemaker. That it is of the utmost importance to push the converstion of [[overwritten]] our [[/overwritten]] the Bakelite Corporation into an operating Company so that K.B. may not find a pretext for getting extra dividends declared from our necessary surplus, denouncing in as a holding company.
